Welcome to Event Foundry. These Terms of Service ("Terms") govern your access to and use of Event Foundry's website, applications, and services (collectively, the "Service"). Please read these Terms carefully before using our Service.

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

1. Definitions

  • "Event Foundry," "we," "us," or "our" refers to Event Foundry and its affiliates.
  • "Service" refers to the Event Foundry platform, including our website, web applications, APIs, and all related services.
  • "User," "you," or "your" refers to individuals or entities accessing or using the Service.
  • "Content" refers to text, images, designs, moodboards, and other materials uploaded, created, or shared through the Service.
  • "Tenant" refers to event rental companies or businesses that subscribe to Event Foundry to provide the Service to their clients.

2. Account Registration and Security

2.1 Account Creation

To access certain features of the Service, you may be required to create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

2.2 Account Security

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. Event Foundry will not be liable for any loss or damage arising from your failure to protect your account credentials.

2.3 Account Eligibility

The Service is intended for users who are at least 18 years old. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

3. Service Description and License

3.1 Service Description

Event Foundry provides a virtual design studio platform that enables event rental companies to showcase their inventory and allows event planners and clients to create moodboards and design visualizations using that inventory.

3.2 License Grant

Subject to your compliance with these Terms, Event Foundry grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes.

3.3 License Restrictions

You agree not to:

  • Copy, modify, or distribute the Service or any part thereof
  • Reverse engineer, decompile, or disassemble the Service
  • Rent, lease, loan, sell, sublicense, or otherwise transfer the Service to any third party
  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Attempt to gain unauthorized access to the Service or its related systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Use automated means (bots, scrapers, etc.) to access the Service without our express written permission

4. User Content

4.1 Ownership

You retain ownership of any Content you upload, create, or share through the Service. Event Foundry does not claim ownership of your Content.

4.2 License to Event Foundry

By uploading, creating, or sharing Content through the Service, you grant Event Foundry a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, display, and distribute your Content solely for the purpose of operating, providing, and improving the Service.

4.3 Content Responsibilities

You represent and warrant that:

  • You own or have the necessary rights to use and authorize use of any Content you upload
  • Your Content does not infringe upon the intellectual property rights of any third party
  • Your Content does not contain any unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable material

4.4 Content Removal

Event Foundry reserves the right to remove any Content that violates these Terms or that we determine, in our sole discretion, to be inappropriate, without prior notice.

5. Third-Party Integrations

5.1 Third-Party Services

The Service may integrate with or allow connections to third-party services, including but not limited to Canva, Pinterest, and other design or social media platforms. Your use of such third-party services is subject to their respective terms of service and privacy policies.

5.2 Third-Party Content

Event Foundry is not responsible for the availability, accuracy, or content of third-party services. You acknowledge and agree that Event Foundry shall not be liable for any loss or damage caused by your reliance on or use of any third-party services.

6. Intellectual Property

6.1 Event Foundry Property

The Service, including its original content (excluding Content provided by users), features, and functionality, is and will remain the exclusive property of Event Foundry and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws.

6.2 Trademarks

"Event Foundry" and related logos and names are trademarks of Event Foundry. You may not use these trademarks without our prior written consent.

7. Subscription and Payment

7.1 Subscription Plans

Certain features of the Service may require a paid subscription. Subscription plans, pricing, and features are described on our website and may be modified from time to time.

7.2 Payment Terms

By subscribing to a paid plan, you agree to pay all applicable fees. Fees are non-refundable except as expressly stated in these Terms or required by applicable law.

7.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings.

7.4 Price Changes

Event Foundry reserves the right to modify subscription fees upon reasonable notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

8. Termination

8.1 Termination by You

You may terminate your account at any time by contacting us or through your account settings. Upon termination, your right to use the Service will immediately cease.

8.2 Termination by Event Foundry

Event Foundry may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

8.3 Effect of Termination

Upon termination, all provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

9. Disclaimers

9.1 "As Is" Basis

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

9.2 No Guarantee

Event Foundry does not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that defects will be corrected. We do not guarantee any specific results from use of the Service.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EVENT FOUNDRY, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of (or inability to access or use) the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorized access, use, or alteration of your transmissions or content

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT PAID BY YOU TO EVENT FOUNDRY, IF ANY, DURING THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.

11. Indemnification

You agree to defend, indemnify, and hold harmless Event Foundry and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

12.2 Dispute Resolution

Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, the dispute shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

12.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

13. Changes to Terms

Event Foundry reserves the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

Your continued use of the Service after any changes to the Terms constitutes acceptance of those changes.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Event Foundry regarding the Service and supersede all prior agreements and understandings.

14.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

14.3 Waiver

The failure of Event Foundry to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms without Event Foundry's prior written consent. Event Foundry may assign these Terms without restriction.
